This strategic transaction, initially announced on December 18, 2023, involves a substantial agreement with EnviroCopper Ltd (ECL) and its subsidiary Environmental Metals Recovery Pty Ltd (EMR).

Details of the Transaction

Andromeda's divestiture of the license for exploration licence EL5984 is a complex arrangement featuring both immediate and contingent benefits. The immediate compensation includes $50,000 in cash and 203,008 fully paid ordinary shares in ECL. In addition, Andromeda has secured a significant royalty agreement, entitling it to 10% of the operating cashflow from the Alford Project Area and the Moonta Project Area, each capped at $15 million.

Future Considerations and Milestones

The agreement also outlines future financial benefits contingent on specific milestones. Post-completion, Andromeda is poised to receive either $100,000 in cash or an additional 101,504 shares in ECL following the successful completion of a Site Environmental Lixiviant Test (SELT) in the project area.

Furthermore, the granting of a Mining Lease within the project area to ECL or its affiliates will trigger a further payment of $150,000 in cash to Andromeda.
