European Lithium Requests Trading Halt Amid NASDAQ Merger Update

January 19, 2024 - European Lithium Limited (ASX: EUR), a prominent player in the mining exploration and development sector, has officially requested a trading halt on the Australian Securities Exchange (ASX) effective immediately. This decisive action is in anticipation of a significant update regarding their merger transaction with Sizzle, indicating a potentially transformative development for the company.

Understanding the Trading Halt: The Request Details

European Lithium's move to halt trading from January 19th until the earlier of January 23rd or the release of an announcement concerning the NASDAQ Sizzle merger underlines the importance of the forthcoming update. This strategic decision underscores the potentially market-sensitive nature of the impending announcement.

European Lithium Ltd has entered into a merger with Sizzle Acquisition Corp, a publicly traded special purpose acquisition company. The merger will result in the formation of Critical Metals Corp, which is expected to be a leading lithium mining company.

The US Securities and Exchange Commission (SEC) approved the merger transaction.

Under the arrangement, European Lithium will merge its wholly owned Wolfsberg Lithium Project in Austria with Critical Minerals Corp (CRML), which is set to list on the NASDAQ.

The deal will see European Lithium receive US$750 million worth of shares in Critical Minerals Corp (CRML). The approval of the merger by the SEC was enough to see shares in European Lithium spike 34. 72% to $0. 097 on December 28, 2023.

European Lithium first signed its business combination agreement with Sizzle back in October 2022, and shareholders approved the merger on January 20, 20232. Now that the deal has been approved by US regulators, Sizzle shareholders are set to vote on the transaction on or around January 23, 2024.

European Lithium Chairman Tony Sage expressed excitement about the SEC’s approval and the upcoming NASDAQ listing of CRML, which he expects to create a significant increase in shareholder value.

Compliance and Transparency

In accordance with Listing Rule 17. 1, the company has ensured full compliance with regulatory requirements. They affirm that there is no additional information needed to inform the market and are not aware of any reasons why the trading halt should not be granted.

European Lithium: A Key Player in Lithium Supply

Situated 270 km southwest of Vienna in Carinthia, Austria, the Wolfsberg Lithium Project is a cornerstone of European Lithium's operations. This hard rock lithium deposit has historical exploration credentials and a JORC resource. Its proximity to essential road and rail infrastructure positions it favorably to supply the European consumer market, notably the electric vehicle (EV) industry, and the growing number of battery manufacturers in the region.

The Project's Strategic Importance

A recently completed positive Pre-Feasibility Study (PFS) supports the company's plans to sell lithium hydroxide into an integrated European battery supply chain. This move is crucial, given lithium's versatility and its critical role in various industries, including the dominant rechargeable Li-ion battery technology.

The Broader Context: Europe's Clean Energy Revolution

Europe's investment of billions of Euros to revamp its auto industry and emerge as a leader in electrified mobility highlights the strategic relevance of the Wolfsberg Lithium Project. Positioned at the heart of Europe's burgeoning cluster of battery manufacturers, European Lithium stands at the forefront of this transformative phase.

Securing Lithium Supply

The clean energy revolution has intensified the need to secure a stable lithium supply, vital for the Li-ion battery space. As global and European demand surges, European Lithium's project is not just a business endeavor but a critical component in Europe's transition to sustainable energy and transportation solutions.

Looking Ahead: Implications of the Trading Halt

The trading halt request by European Lithium, while temporary, signals a pivotal moment for the company and its stakeholders. With the eyes of investors and the industry focused on the upcoming NASDAQ Sizzle merger announcement, European Lithium is poised at a potentially transformative juncture that could redefine its role in the global lithium market and Europe's clean energy landscape.
